On June 27, the annual shareholders’ meeting of 2007 and the first special general meeting of 2008 were held at Zhuzhou, Hunan province. The main shareholders of CSR Zhuzhou Electric Locomotive Research Institute, CSR Zhuzhou Electric Locomotive Co., Ltd., New Leap Rail Equipment Investment and Development Co., Ltd., CSR Qisuyan Locomotive & Rolling Stock Works and China Railway Large Maintenance Machinery Co., Kunming attended the meeting. In addition, the directors, supervisors, chief financial officer, secretaries of the board, a qualified accountant, outside legal advisers and the representatives of the Hong kong Central Registration company were present at the meeting.
Annual shareholders meeting discussed about 9 motions, such as, the annual report of the board of directors and supervisors meeting, audited consolidated financial statements and auditor’s report of the company and the affiliated enterprises in 2007, the annual proposed profit distribution plan and the final dividend declared programmer, reappointed the retiring auditors, directors, supervisors allowance ,election or re-election of directors and the amendment of the company’s constitution, etc. The Special General Meeting discussed about 2 proposals, including “Considering and approving the mutual supply agreement and the Ceiling under the agreement proposed transaction motion” and “consider and approve the updated the mutual supply agreement of China Railway Large Maintenance Machinery Co., Kunming, the ceiling of the company and the transaction under the agreement.”
At the same day, the company also held the first meeting of the second session of the board of directors and board of supervisors. The whole supervisors and the secretaries of the board of directors attended the meeting. The meeting discussed about 6 motions, containing the election of the president and the vice president. Mr. Zhang liqiang was elected as the chairman of the board of supervisors in this meeting.
In addition, outside lawyers gave the training concerning the corporate management structure for the company’s directors, supervisors and some senior management.
